1. General Terms:

  • 1.1 By availing any services provided by Sparx Facility Management (referred to as "Company," "we," or "our"), you (referred to as "Client," "you," or "your") agree to comply with and be bound by the following terms and conditions.
  • 1.2 These terms and conditions govern the provision of housekeeping, support staff services, fire protection system, and pantry services within the Ghaziabad, Delhi/NCR, India region.

2. Services Offered:

  • 2.1 Sparx Facility Management offers a range of services, including but not limited to housekeeping, support staff services, fire protection system maintenance, and pantry services.
  • 2.2 The specifics of the services, including scope, frequency, and duration, will be outlined in the service agreement between the Client and the Company.

3. Service Agreements:

  • 3.1 Prior to the commencement of any services, both parties shall sign a service agreement that outlines the terms, conditions, scope, and fees associated with the services.
  • 3.2 Any amendments or modifications to the service agreement must be made in writing and signed by both parties.

4. Payment:

  • 4.1 The Client agrees to pay the fees specified in the service agreement according to the agreed-upon schedule.
  • 4.2 In case of any delay in payment, the Company reserves the right to suspend or terminate services until the outstanding payments are settled.

5. Responsibilities:

  • 5.1 The Company agrees to provide the agreed-upon services in a professional and timely manner.
  • 5.2 The Client agrees to provide all necessary information, access, and facilities required for the provision of services.

6. Confidentiality:

6.1 Both parties agree to maintain the confidentiality of any sensitive information exchanged during the course of providing services.

7. Termination:

  • 7.1 Either party may terminate the service agreement by providing written notice within the timeframe specified in the agreement.
  • 7.2 Termination of services will not relieve the Client of any outstanding payment obligations.

8. Liability:

8.1 The Company shall not be held liable for any damage, loss, or injury arising out of the use of its services, except in cases of willful misconduct or gross negligence.

9. Force Majeure:

9.1 Neither party shall be held liable for any failure or delay in performing its obligations under the agreement due to circumstances beyond its control, including but not limited to acts of God, government actions, labour disputes, or natural disasters.

10. Governing Law and Jurisdiction:

10.1 These terms and conditions shall be governed by and construed in accordance with the laws of India.
10.2 Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Delhi/NCR, India.
